Yum! Brands has reached definitive agreements to divest its Pizza Hut business for a total of $2.7 billion. This strategic decision came after a review that started in November 2025, aiming to optimize long-term brand growth through separate ownership structures.

LongRange Capital’s acquisition of Pizza Hut Ex-China is valued at approximately $1.5 billion, with the potential for an additional $75 million earn-out by 2030. Yum China will buy Pizza Hut China for roughly $1.2 billion. These transactions are set to yield Yum! Brands approximately $2.3 billion in net proceeds after accounting for taxes, closing adjustments, and fees, while one-time separation costs are estimated at $85 million.

Yum! Brands CEO, Chris Turner, expressed optimism, emphasizing that the new ownership structures, guided by experienced entities, position Pizza Hut for future success. He highlighted the brand’s historical significance and expressed enthusiasm for its next chapter under new leadership. Additionally, the partnership between Yum! Brands and Yum China will persist, featuring financial incentives linked to KFC China’s growth and collaborative efforts to expand Taco Bell in mainland China.

Post-sale, Yum! Brands will provide its technology platform, Byte by Yum!, to Pizza Hut Ex-China and supply certain corporate services during the transition. The transactions, which have board approval, are expected to close by the third quarter of 2026, contingent on customary conditions and regulatory approvals. Yum! will no longer report Pizza Hut as a separate division following the completion. Additional financial details will be released during Yum!’s second-quarter earnings call on July 30.

Yum! Brands currently operates over 63,000 restaurants across 155 countries under its various banners, including KFC, Taco Bell, Pizza Hut, and Habit Burger & Grill.
